Mutual Non-Disclosure Agreement

Agreement Overview

By submitting the intake form, you ("Party B") agree to enter into a Mutual Non-Disclosure Agreement with Eight Bit Studios, LLC ("Party A") to explore a potential business relationship and exchange confidential information ("Proprietary Information"). This Agreement is effective as of the date of submission ("Effective Date").

Confidentiality Obligations

Both parties agree to:

• Keep Proprietary Information confidential
• Not disclose it to third parties
• Use it only to evaluate the potential business relationship
• Ensure any employees or agents with access are similarly bound by confidentiality

Exclusions

These confidentiality obligations do not apply to information that:

• Becomes publicly available (not through the fault of the Receiving Party)
• Was known or independently developed before disclosure
• Is lawfully received from third parties without confidentiality restrictions
• Must be disclosed by law, provided notice is given to the Disclosing Party if permitted

No Warranties

All information is provided "as is," without warranties of any kind. Each party is responsible for independently assessing the value of any information received. This Agreement does not require either party to proceed with a business relationship or to disclose any specific information.

Return or Destruction

Upon request, either party will return or destroy all Proprietary Information received from the other party.

Governing Law

This Agreement is governed by the laws of the State of Illinois. It cannot be assigned or amended without written consent from both parties. If any provision is found invalid, the remaining provisions shall remain in full force and effect.

Acceptance

By submitting the intake form and checking the NDA agreement box, you acknowledge that you have read, understood, and agree to be bound by the terms of this Mutual Non-Disclosure Agreement.
